/terms — PROTOCOL TERMS OF SERVICE
Programmatic usage rules, native fee extraction mechanics, statutory safe harbors, and legal jurisdiction.
01. EXCLUSIVE JURISDICTION & GOVERNING LAW
This Agreement and any access to or usage of the Lexica Ledger Protocol shall be governed by, construed, and enforced exclusively in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein (ON_CA). All legal proceedings, claims, or arbitrations shall be instituted exclusively in the courts located in the City of Toronto, Province of Ontario, Canada.
02. PROGRAMMATIC MICRO-TOLL EXTRACTION
API access and state attestations are debited directly from the client's pre-funded vault balance via native micro-tolls settled in USD Coin (USDC):
- Standard Attestation: $0.0015 USDC per call.
- Exception Oracle Surcharge: $0.0075 USDC per call (triggered on schema drift or syntax corruption).
- Enterprise Defense Vault Tier: $4,800/month base subscription SLA.
03. STATUTORY SAFE HARBORS & LIMITATION OF LIABILITY (CAD $100 CAP)
Routing agentic calls through our API creates an unalterable Authorization Chain Record (ACR), providing enterprise compliance safe harbors under EU AI Act Articles 9, 12, and 17 and SEC D&O disclosure mandates. In no event shall Lexica Ledger Infrastructure Technologies Inc., its operators, or node validators be liable for indirect, incidental, or consequential damages. Aggregate protocol liability for all claims is strictly capped at the lesser of (a) CAD $100.00 or (b) the total micro-tolls paid by the customer in the thirty (30) days preceding the claim.
04. BINDING SINGLE-ARBITRATOR PROCEEDINGS
All disputes or claims arising hereunder shall be finally settled under the Ontario Arbitration Act by a single neutral arbitrator appointed in Toronto, Ontario, Canada.
